1. Introductory Terms

1.1.1. Introduction

Welcome to the website of aduna s.r.l.s. ("aduna," "we," "us," or "our"). These terms and conditions govern your use of our website and the services offered through it. By accessing or using our website, you agree to comply with these terms and conditions. If you do not agree with any part of these terms and conditions, you must not use our website.

1.1.2. Company Information

aduna s.r.l.s. is a limited liability company registered in Italy, with its registered head office located at Via Caduti di El Alamein 5, 56123 Pisa.

1.1.3. Services Offered

Aduna provides plugins, automations, and scripts primarily for Autodesk Revit, Microsoft Excel, and other digital tools used in architectural and engineering design workflows. Aduna's primary activity is the development and sale of ready-to-use and custom software tools, primarily dedicated to the building and construction industry. We also offer training services on request; such services are customised and details are available on our website.

1.1.4. Compatibility

Aduna's software tools require an active and stable internet connection to function properly.

1.1.5. User Accounts

Currently, we do not offer user accounts on our website; they will soon be available for managing users and licenses. Licenses and subscriptions can be directly managed by the client on the Stripe platform.

1.1.6. Intellectual Property Rights

All products, ideas, and texts presented on our website are the exclusive property of aduna s.r.l.s. and are protected by copyright laws. Reproduction or use of any content from our website without prior consent is strictly prohibited.

1.1.7. Technical Support and Bug Fixing

Bug fixing is included at no additional cost for all customers. Technical support is included only in specific offers, and its availability and cost vary depending on the subscription type or product purchased. For more information, see the Subscription Terms and the specific product pages.

The Customer shall designate a Coordinator in charge of communication with the Service Provider. The only person in contact with the Service Provider should then be the Technical Coordinator.

1.1.8. Product Evolution and Pricing Policy

Aduna frequently releases updates and enhancements to its software, many of which are offered for free to existing users. These updates may include substantial improvements and new features, provided as a complimentary benefit to our users. However, Aduna reserves the right to later extract these features into standalone tools or revise pricing, even if they were initially delivered at no additional cost. Such changes will always be preceded by at least 30 days' notice, and pricing revisions will not exceed 10% over the previous billing cycle, excluding promotional plans.

1.1.9. Newsletter Subscription

By starting using our products or by subscribing to our newsletter, you consent to receive promotional emails and updates from aduna s.r.l.s. You can unsubscribe at any time using the link provided in the emails.

1.1.10. Limitation of Liability

Our tools support automation in AEC workflows. While we strive for accuracy and reliability, users are responsible for verifying computed results and remain solely responsible for any drawings and information produced. We assist with usage but cannot be held liable for unexpected results generated by automated actions.

1.1.11. Use of Customer Name and Logo

By proceeding with the purchase and using our products/services, the user agrees that Aduna may publicly acknowledge that the user is one of our customers and may use the customer's name and/or logo on our communication channels (including, but not limited to, our website, social media, and corporate presentations), solely for customer reference purposes. Such use will be limited to general informational and promotional contexts (for example, “Trusted by” sections on our website) and will never be made in a way that suggests any specific approval, sponsorship, or endorsement by the customer. The customer has the right, at any time, to request in writing the removal of their name and/or logo from our channels; Aduna will comply with such request within a reasonable timeframe..

1.1.12. Governing Law and Jurisdiction

These terms are governed by Italian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Italy.

3. Subscription Terms

Payment Method: The Customer shall ensure that the Provider has current and accurate billing information at all times. Payment will be mainly made by card payments, via a payment platform (e.g. Stripe).

Late Payment: Payments not received within 10 days may incur a late fee of 10% and, subject to prior notice, licence suspension. Pursuant to Directive 2010/45/EU, a fixed indemnity for collection costs may also apply.

Disagreements: Notify info@aduna.eu for any clarification regarding an invoice.

Certain versions may be available free of charge for evaluation or limited professional use and may include restrictions on functionality and/or number of authorized free licences per office (same premises and/or same projects).

Users shall promptly notify Aduna when limitations are exceeded. Unauthorized use may lead to retroactive fees and damages.

Property Rights: All rights, title, and interest in and to the Software, including but not limited to the actual software, its name, copyright, distribution rights, and intellectual property rights, shall remain exclusively with the Provider. Nothing in this Agreement shall be construed to transfer any ownership rights from the Provider to the Customer.

Usage Procedures: The plug-ins and software provided by the Provider are intended to be used following specific procedures as outlined by the Provider. These automated procedures are designed only to assist with the Customer's work and never to substitute the worker in his tasks. Customer's Responsibility: The Customer is solely responsible for the correct usage of the licences granted under this Agreement. This includes ensuring that the licences are not transferred inadvertently or otherwise to external parties or entities outside of the Customer's organisation. The Customer shall maintain adequate controls to prevent unauthorised use or transfer of licences. Output Verification: The Customer acknowledges that the outputs generated by the Software are automated and based on the information provided by the Customer. The Provider does not guarantee the accuracy or correctness of such outputs. It is the Customer's responsibility to review and verify the outputs before relying on them for any purpose. Disclaimer of Liability: The Provider assumes no responsibility for any errors, inaccuracies, or issues arising from the use of the Software. The Customer is responsible for verifying the accuracy and appropriateness of all outputs generated by the Software before presentation or delivery, as they would if these automation tools did not exist. Unplanned or Fraudulent uses: The Customer agrees to use the Equipment(s), Provider Equipment(s), Third Party Equipment(s), Software(s), Provider Software(s), Third Party Software(s) and/or Service(s) provided and/or made available by the Provider, for its own purposes only, and: (a) in accordance with the terms of the Agreement and any instructions communicated by the Service Provider, Publishers (b) in compliance with any applicable laws or regulations in the countries where such equipment(s), software(s) and/or Service(s) will be used including, but not limited to, laws and regulations concerning property and in particular intellectual property. The Customer is responsible for the security of his identifiers and as such, the Customer is responsible for any fraudulent use of the Equipment(s), Software(s) and/or Service(s) that would occur from a use of his identifiers. Customer agrees to comply with any applicable laws or regulations regarding restrictions on use, import, resale or export (including applicable end-use control rules) applicable to the Equipment(s), Service Provider Equipment(s), Third Party Equipment(s), Software(s), Service Provider Software(s), Third Party Software(s) and/or Service(s) provided and/or made available pursuant to the Agreement.

Opening hours: Technical support is available from Monday to Friday, from 10.00 to 12.30 and from 15.00 to 17.30 by email (email: support@aduna.eu).

    Service functioning: This service is performed as following:
  • Technical assistants receive customer calls (Front Line).
  • Technical assistants answering the call are Level 1 technicians in charge of qualification, ticket processing and technical escalation to the second level (if needed) as well as ticket follow-up. If possible, they will answer and solve the problem directly.
  • If the issue needs time to be solved, or additional expertise, the ticket will be managed by a Level 2 technician who will be back to the user in need within 48-72 hours. Non-included interventions: Any intervention which would not be directly linked to a technical issue, a bug, or a difficulty on basic usage of the tool, like personalisation for tailored needs will be billed based on time intervention. Reference standard price intervention is 50€/h. Remote interventions: Exceptional remote interventions, like teachings, lectures, coaching or local daily support can be agreed with the Customer and will be billed on time intervention. Reference standard price intervention is 350€/day.
  • Local presence support: Exceptional interventions on site, like teachings, lectures, coaching or local daily support can be agreed with the Customer and will be billed on time intervention. Reference standard price intervention is 500€/day + travel costs.

Customer's obligation: The Customer shall designate a Coordinator in charge of communication with the Service Provider. This coordinator shall be the most adapted and technically prepared profile of the Customer's company, so that questions and needs are understood and eventually solved or filtered by her/him. The only person in contact with the Service Provider should then be the Technical Coordinator. Any change of the designated Project Manager shall be communicated by email to the provider.

Non-Solicitation of Personnel: The Customer agrees that during the term of this Agreement and for a period of 24 months following the termination or expiration of this Agreement, the Customer shall not, without the prior written consent of the Provider, directly or indirectly, on their own behalf or on behalf of any other person, company, or entity, solicit, hire, employ, engage, or attempt to solicit, hire, employ, or engage any employee, collaborator, consultant, or any other person who is or was engaged by the Provider at any time during the term of this Agreement and who had contact with the Customer in connection with the performance of this Agreement. The client may not approach employees to obtain information about the software, training courses, support, or other information outside of Aduna's official channels, according to the methods defined in this agreement. Third-Party Restrictions: The Customer further agrees not to solicit, hire, employ, engage, or attempt to solicit, hire, employ, or engage any of the Provider's employees, collaborators, consultants, or any other person who is or was engaged by the Provider through any third party, agency, or any other entity that would facilitate the engagement indirectly. Notification of Breach: In the event that the Customer breaches this Non-Solicitation Clause, the Customer agrees to notify the Provider immediately and agrees that the Provider shall be entitled to seek injunctive relief and any other remedies available under the law to prevent such breach or any further breach, including but not limited to compensatory damages. Acknowledgment: The Customer acknowledges that the restrictions contained in this Non-Solicitation Clause are necessary to protect the legitimate business interests of the Provider and are reasonable in scope, duration, and geographic area.

Scope of Personalization: Any personalization or custom developments requested by the Customer that are beyond the standard functionality of the Software will be considered as tailored development services. Modification Restrictions: The Customer agrees not to modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software. Any modifications to the Software's functionality, including backend modifications, must be implemented only by the Provider. Tailored adaptation for Customer's special needs can be executed as part of a separate development services agreement (the "Development Services Agreement").

Subcontracting: The Provider has the right to subcontract all or part of the Software(s) and/or Service(s) ordered and remains liable to the Customer for the performance of the Contract.

Term: This Agreement shall commence on the Effective Date the payment is processed. The Agreement continues on a month-to-month or year-to-year basis depending on the payment and contractual details, depending on the selected payment option, until terminated by either party in accordance with the terms of this Agreement. Termination by Customer: The Customer may terminate this Agreement at any time by simply cancelling the subscription. Upon termination, the final payment shall be issued based on the proportion of the termination date within that month.

Term: This Agreement shall commence on the Effective Date the payment is processed. The Agreement continues on a month-to-month or year-to-year basis depending on the payment and contractual details, depending on the selected payment option, until terminated by either party in accordance with the terms of this Agreement. Termination by Customer: The Customer may terminate this Agreement at any time by simply cancelling the subscription. Upon termination, the final payment shall be issued based on the proportion of the termination date within that month.

Breach Consequences: If the Customer fails to comply with any terms or conditions of this Agreement, it shall constitute a material breach. The Provider reserves the right to immediately terminate this Agreement and revoke the licence granted herein.

Agreed prices: The prices set forth in the Agreement are net of all Taxes, Duties and Fees, levies or withholdings of any kind, including VAT or comparable taxes, due under the Agreement. All Taxes, Duties and Fees, levies or withholdings of any kind, including VAT, due under the Contract shall be borne solely by Customer and shall be paid by Customer to the appropriate tax authorities in accordance with applicable law. Therefore, the net price received by the Service Provider shall in all cases be the same as that which would be received in the absence of the aforementioned taxes. If the Provider is required to pay any of the aforementioned taxes, the Customer shall reimburse the Provider for the euro equivalent of such taxes within thirty (30) days of the Provider sending the Customer a request for reimbursement or an invoice. The Provider shall provide the Client, upon request, with any appropriate supporting documentation allowing the application of reduced rates or exemption from withholding as provided for in the tax treaty signed by the Service Provider's state and the Customer's state, if applicable. The Customer shall provide the Provider, as soon as possible, with any document approved by the relevant tax authorities justifying the payment of any withholding tax due under the Agreement. In connection with Software(s) and/or Service(s) provided under the Agreement, the Customer (i) warrants to the Provider that it is not involved in a scheme to circumvent applicable VAT legislation (e.g., carousel fraud) and (ii) undertakes to take all reasonable control measures to ensure that the companies with which it engages are not themselves involved in such a scheme Conditions for exemption from VAT in the Provider's country (provided that the legal conditions are met): the Customer shall send the Provider, prior to invoicing, a certificate of tax residence issued by the competent authority. If the Customer is established in a Member State of the European Community where he is subject to VAT, he shall also provide the Service Provider, prior to invoicing, with his individual identification number and a certificate from the administration of the Member State as to his status as a taxable person. If the Service Provider does not have the required documents, the Service Provider may invoice including the VAT of the Service Provider's country. If the Customer's situation changes during the term of the Agreement, the Customer agrees to inform the Provider so that the Provider can invoice the VAT due. In any case, the VAT due in the Provider's country under the Agreement shall be borne exclusively by the Customer. It shall be increased by the legal interests, penalties and fines paid by the Service Provider, if any. Foreign Customer's permanent establishmentin the Provider's country: The Customer whose place of business is, or will be, located in a country other than that of the Provider certifies that it does not have, and will not have, a permanent establishment subject to VAT in the Provider's country on behalf of which the Agreement will be performed. If this declaration proves to be inaccurate during the term of the Agreement, the Customer undertakes to inform the Service Provider in order to enable the Provider to invoice the VAT due. In any event, the VAT due in the Provider's country under the Agreement shall be borne exclusively by the Customer. It shall be increased by the legal interests, penalties and fines paid by the Service Provider, if any. Customer's permanent establishment outside the Provider's country: in the event that the Agreement is performed for the benefit of a permanent establishment that the Customer has in a country other than the Provider's country, the VAT regime shall, upon the Customer's express and detailed request and subject to the Provider's acceptance, be determined in accordance with the territoriality rules applicable between the Provider's country on the one hand, and the country where this permanent establishment is located on the other. In the event that the tax authorities question the application of these territoriality rules, the VAT due under the Agreement shall be borne by the Customer, plus any legal interest, penalties and fines paid by the Provider.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Italy. Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, or understandings of any kind. Amendments: Any amendments or modifications to this Agreement must be in writing and signed by both parties.


4.Conditions of licence Use

4.1.1 Conditions of Software Use. Aduna S.r.l.s. grants the Customer, who accepts, a temporary and non-exclusive USE LICENCE for the software, and reserves, also for its successors, the exclusive ownership of the software and all its rights, being able to dispose of it as it sees fit and against anyone. The aforementioned use licence is granted on the condition that the Customer has obtained the software from Aduna S.r.l.s. or an authorised reseller and that they comply with the terms of this Licence. Aduna S.r.l.s. also reserves the right to modify the product without notice and at any time. The Use licence does not include the right to obtain the software in source code format, nor to access related logical and/or project documentation. Updates will be incorporated into new versions. If the program is purchased as a single use product, the use of the Program is allowed on one machine at a time while in the possession of the Customer. The software licence is non trasnferable. In the case of Multi User installations, like floating licences, concurrent use of the software on more machines than the number of Multi User package installations is not permitted and will be blocked. In the case of Server programs, the activation of a Client workstation only grants the use of the software, but does not transfer the Use licence, which remains the property of the licence holder. The Customer has the right to make a backup copy of the software, provided that it is not installed on any Computer and is used solely for archival purposes. If the software includes several applications, utilities, and components (software package), the Customer is not required to use all components that are part of the Software, but cannot separate the various components to use them on different computers. The Customer cannot separate the components of the Software package nor create another Software package for distribution, transfer, or resale purposes. Under penalty of termination of the use licence, it is ABSOLUTELY FORBIDDEN for the Customer to: (1) run the program in debugger mode; (2) perform reverse engineering, decompile, disassemble, or otherwise attempt to discover the Software's source code without explicit prior authorization from Aduna S.r.l.s., which nullifies this limitation; (3) modify, adapt, or translate the software; (4) make copies of the software, except as provided in this Licence; (5) copy and/or modify any documentation (manual, video, brochure, presentations, etc.) of this Program without Aduna S.r.l.s.'s authorization. The Customer cannot transfer the right to make a backup copy unless all rights related to the software are transferred as provided in these conditions. The User is not authorized to circumvent or bypass activation. BY ACCEPTING THESE LICENCE CONDITIONS OR USING THE SOFTWARE/SERVICE, THE USER ACCEPTS ALL CONDITIONS STATED IN THIS DOCUMENT AND CONSENTS TO THE TRANSMISSION OF CERTAIN INFORMATION DURING ACTIVATION AND FOR THE FUNCTIONALITIES OF THE SOFTWARE/SERVICE. IF THE USER DOES NOT ACCEPT THESE CONDITIONS, THE SOFTWARE OR SERVICE CANNOT BE USED IN ANY WAY.

4.1.2 Activation and Internet Connectivity Requirement During installation, activation, and for all usage sessions, the software requires an active internet connection capable of handling the data flow required by the program. The User is responsible for the availability, settings, and proper functioning of the network connection and the settings of the computer used. All internet connection costs are borne by the User. During activation and use, the software automatically connects to Aduna S.r.l.s. Servers to confirm the validity of licences and to provide the User with information regarding software updates (e.g., availability of updates, training courses, application videos on software features, etc.). This verification aims to identify unauthorized changes to the licence or activation functions of the software, as well as to prevent unauthorized use of the software. Aduna's software tools require an active and stable internet connection to function properly. Certain features, including licence validation, updates, and cloud-based operations, depend on real-time communication with Aduna's servers. Users acknowledge that without internet access, the software may be partially or entirely inoperative.

4.1.3 Intellectual Property Rights The software, including all copies authorized by Aduna S.r.l.s. and all tools supporting the use of the software (manual, video manual, online help, etc.), constitutes intellectual property and is owned by Aduna S.r.l.s.. The structure, organization, and code of the software are important trade secrets and confidential information owned by Aduna S.r.l.s.. The software is protected by national and international laws and regulations governing copyright and contracts, as well as by regulations and agreements on intellectual property. Except as expressly provided in this licence, Aduna S.r.l.s. does not grant the Customer any intellectual property rights in the Software and related services. All rights not expressly granted are reserved by Aduna S.r.l.s. Aduna S.r.l.s. uses, for some tools the free Macro Mastery Excel libraries, by Paul Kelly.

4.1.4 Disclaimer of Liability The software and plug-ins provided by Aduna s.r.l. are intended solely to assist the Customer in automating specific procedures. These tools are not designed to replace professional judgment or the responsibilities of the end user. The Customer remains solely responsible for the supervision, management, validation, and control of all outputs generated by the Software. Aduna s.r.l. does not guarantee that the Software or its procedures will meet the specific needs of the Customer, nor that it will operate without errors in all possible environments or combinations. The Software may not have been tested in every scenario or professional context. Aduna s.r.l. also does not guarantee the accuracy of any accompanying documentation, manuals, or guides. All risks associated with the installation, use, and results of the Software are entirely borne by the Customer. In no case shall Aduna s.r.l. be liable for any direct, indirect, incidental, special, or consequential damages. These include, without limitation, damages for loss of profit, interruption of business, loss of data, reputational harm, or economic losses resulting from the use or inability to use the Software, even if Aduna s.r.l. has been advised of the possibility of such damages. Aduna s.r.l. shall not be liable for delays, malfunctions, or interruptions caused by Force Majeure events (such as natural disasters, strikes, vandalism, terrorism) or failures in third-party services (e.g., electricity, telecommunications, or server outages). In all cases, Aduna s.r.l.'s liability, whether contractual, tortious, or otherwise, shall be limited to the amount paid by the Customer for the specific Software licence or subscription. The Customer is fully responsible for the correct use of the licence and for ensuring that it is not transferred, intentionally or unintentionally, to unauthorised third parties or entities outside the Customer's organisation. The Customer shall implement adequate measures to prevent any unauthorised access or use of the Software. The Customer agrees to use the Software, third-party components, and any associated hardware or services exclusively for lawful purposes, in accordance with the terms of this Agreement, and in compliance with all applicable national and international laws, including those governing intellectual property, export control, and data protection. Aduna s.r.l. assumes no responsibility for the content, accuracy, or regulatory compliance of any data or project files provided with or generated by the Software. The Customer is solely responsible for reviewing and validating all documents and results derived from such data. Unless otherwise expressly stated, any project data libraries or archives bundled with the Software remain the exclusive property of Aduna s.r.l. and may not be extracted or reused outside the context of the licensed Software. This clause applies regardless of whether the Software is granted through a paid or free licence, and includes any limited versions of the Software made available for demonstration or internal evaluation purposes.

4.1.5 Communications with Aduna S.r.l.s. Server The program automatically connects to Aduna S.r.l.s. servers to provide the Customer with information about software updates, training courses, video applications on software functions, etc. The software only works if the computer is able to communicate with Aduna S.r.l.s. servers, which will grant the licence authorization at every use; Aduna S.r.l.s tool works only if the machine on which they are installed is provided with an internet connection. If provided for and defined in the system requirements, the program automatically connects to Aduna S.r.l.s. servers to verify the correct status of the Use Licences. To optimise the software installation procedure, during this procedure, the program connects to Aduna S.r.l.s. servers to communicate information about the device, such as the Operating System, hardware configuration, etc.; and to monitor the installation status. By accepting this Use Licence, you accept the automatic exchange of data and information between the software in the Customer's possession and Aduna S.r.l.s.'s servers to verify the status of licences, obtain a better experience during the use of the program, and allow continuous improvement of services related to the product. By accepting this Use Licence, you accept that almost all services related to the use of the software are only available via the web because the licence is constantly verified by Aduna S.r.l.s. Server; for this reason the program won't be available without any web connection. These services may be suspended for reasons dependent or independent of Aduna S.r.l.s.'s will as they are hosted on servers subject to possible maintenance activities. Aduna S.r.l.s., therefore, can never be held responsible for the unavailability of these services or for any damages this may cause to the Customer.

4.1.6 Transfer of LicencesThe Customer CANNOT lease, rent, sub-licence, sell, assign, or transfer their rights to the software, nor allow partial copying of the software on computers of other individuals or entities, except as may be permitted in accordance with this licence. The Customer may, however, transfer all their rights to use the Software to another individual or entity provided that: - The Customer transfers to such individual or entity the serial number, the Software, and all software or hardware components included in the Software, as part of the Software package or pre-installed with the Software, including all copies, improvements, updates, previous versions, and any related services (e.g., Support and Maintenance services); - The Customer retains no improvements, updates, or copies of the Software, including backup copies and copies stored on computers; - The transferee accepts the terms and conditions of this licence and all terms and conditions under which the Customer purchased a valid licence for the Software. In the case of Multiuser installations or second copies, the installations cannot be transferred (neither for a fee nor free of charge) separately from the first as they constitute a single package (single licence). In the case of centralizing multiple licence installations on a single key installed on a server, Client activations cannot be transferred (neither for a fee nor free of charge) individually as they constitute a single package (single licence). The Use licence for programs purchased under special commercial conditions (e.g., offers reserved for owners of other specific programs, purchase offers reserved for certain professional categories, etc.) cannot be transferred to third parties within one (1) year from the purchase date. The Use licence for programs purchased without benefiting from special commercial conditions cannot be transferred to third parties within six (6) months from the purchase date. The Customer cannot transfer their licence rights to third parties in case of default towards Aduna S.r.l.s.. The transfer of the Use licence can only take place upon written request from the Customer to Aduna S.r.l.s., who will authorize the transfer in writing. The Customer can obtain more information on the transfer/assignment procedure of the Use licence by contacting Aduna S.r.l.s.'s commercial managers.

4.1.7 Software Updates Activation of the temporary licence through a software/service subscription entitles the user to receive all updates released during the subscription period. Aduna s.r.l. provides frequent updates and new software releases at no additional cost, as part of its ongoing commitment to delivering enhanced value to its users. These updates may occasionally include significant improvements or entirely new features that extend the scope, capabilities, or intended use of the plugin. Although such enhancements are initially offered free of charge"”by deliberate choice of Aduna as a benefit and gesture of goodwill towards its clients"”Aduna reserves the right, at its sole discretion, to later separate those new features into standalone tools or to revise the pricing structure of the product that includes them. This means that while users may benefit upfront from unexpected and powerful new functionalities without incurring additional costs, the continued use of such expanded capabilities may in the future require an upgrade or transition to a revised licensing model. With respect to the "LIMITED Version" of the software, Aduna reserves the right to determine whether or not updates will be made available, and which specific functionalities will be included.

4.1.8 Authorization to Use Customer Data Installation, access to services, and continued use of the software may require an activation code. Before an activation code is issued by Aduna S.r.l.s., Software registration is required. The Customer agrees that Aduna S.r.l.s. may use the information and data provided by themselves, an authorized reseller, or any third party acting on their behalf in relation to the purchase of the software licence, in order to register the software. The Customer agrees to provide Aduna S.r.l.s., an authorized reseller, or any other third party acting on their behalf with correct and up-to-date registration information, also upon Aduna S.r.l.s.'s request; the Customer also consents to maintain and update their registration information through the customer data registration processes made available by Aduna S.r.l.s.. By installing the software, the Customer consents to Aduna S.r.l.s. using the personal information provided to Aduna S.r.l.s. at the time of registration, or updated subsequently, to issue activation codes, manage Aduna S.r.l.s.'s relationship with the Customer (including the automation of issuance and activation codes for future purchases), and otherwise use such personal information in accordance with the applicable privacy policy available on Aduna S.r.l.s.'s website upon request. Security activation mechanisms in case of single use licences may disable the software if the Customer attempts to transfer it to another computer, if the date mechanisms on their computer are altered, if the software is used after the trial period or limited duration, or if certain other actions are taken to disable the security system. Additional information is contained in the Customer documentation or made available by Aduna S.r.l.s. upon request.

4.1.10. FREEWARE licences (LIMITED versions) "Freeware" refers to software that Aduna S.r.l.s. grants for use without requiring any compensation. Certain versions of Aduna's software may be made available free of charge ("Freeware") for evaluation or limited professional use. Free Versions are subject to one or more of the following restrictions: - limitations on the scope of functionalities provided; and/or - limitations on the number of authorized free licences that may be used within the same office. For the purposes of this clause, "same office" shall mean any group of individuals"”regardless of the nature of their contractual relationship"”who work in the same physical premises and/or collaborate on the same architectural, engineering, or construction projects. Notwithstanding the possibility of being freely used and distributed free of charge, Freeware licences (including their formats) are subject to the conditions indicated in this licence Agreement and therefore remain the property of Aduna S.r.l.s.. The distribution of Aduna S.r.l.s. "Freeware" to third parties for a fee is strictly prohibited. Users shall promptly notify Aduna s.r.l. in the event that such limitations are exceeded or no longer applicable, in order to define the appropriate paid licensing terms. Failure to comply with these restrictions, including the use of Free Versions beyond their intended scope or in excess of authorized limits, shall constitute a breach of the license terms. Aduna s.r.l. reserves the right to pursue all applicable legal remedies in the event of unauthorized use, including but not limited to the retroactive charging of fees for unpaid licensing periods and potential claims for damages.

4.1.9–4.1.12. Educational (not provided), Freeware/Trial licences terms, Acceptance of Licence Agreement.

4.1.11. TRIAL licences. Aduna S.r.l.s. trial licences (including their formats and any accompanying documentation) are subject to the conditions indicated in this licence Agreement and therefore remain the property of Aduna S.r.l.s.. With the trial version of the program, Aduna S.r.l.s. provides the user not just a demonstration, but the full/partial/limited version of the software to allow for a proper evaluation before purchase. The trial version of the program can have no technical or operational limitations but is limited to a defined period of use, from the date of trial licence start. Use of the software after that period is illegal; to avoid penalties, it is necessary to purchase the program licence. It should be noted that the trial version is not subject to the full validation, testing, and maintenance process of the corresponding commercial product and therefore is not for professional use. Aduna S.r.l.s. provides no warranty of any kind on the use of the software. In particular, Aduna S.r.l.s. does not guarantee the results of the use of the software or documentation in terms of correctness, accuracy, reliability, currency, or otherwise. The entire risk of results and performance of the software is assumed by the User.

4.1.12. Acceptance of the Licence Agreement Opening the package containing the installation media for the software will be considered acceptance of the "Licence Agreement" and all conditions expressed therein. Similarly, in the absence of physical media (e.g., if the software was obtained through direct download of the installation files), the conditions of the "licence Agreement" are considered accepted with payment and simultaneous invoicing of the software. Acceptance of the licence Agreement conditions as described above waives any Right of Withdrawal from the purchase, thus the program cannot be returned to Aduna S.r.l.s. in any way.

This licence to Use Software, Services, and Data Agreement represents a legally binding contract between you (individual or legal entity) and Aduna S.r.l.s. for the use of the identified products and services described below. By using the products, services, and data described below, you agree to be bound by the conditions indicated in this licence Agreement. If you do not accept the terms expressed within this document, you may not use the software, services, and data mentioned below..

4.2.1. Introduction From the installed program, it may be possible, if the program provides integrations, to directly access a SERVICE installed on the Aduna S.r.l.s. server that provides additional functions (usable exclusively via the Internet) to the desktop software, specializing its use for certain specific needs such as automatic collaboration requests, quote requests, etc. It may also be possible to access other Web SERVICES that Aduna S.r.l.s. makes available on its servers directly from the installed program (e.g., video manual, forum, etc.). The SERVICES and DATA that use the Internet connection can be either free or paid and are subject to changes over time. A program menu updates automatically with each connection to the Aduna S.r.l.s. server to present the currently available services in the most updated form. These Conditions are extended to any additional functions that will be provided in the future, unless otherwise provided at the activation of the new functions.

4.2.2. Web FeaturesThe Web SERVICE installed on the Aduna S.r.l.s. server, in combination with the DATA accessible via the network, or even the simple connection to the Aduna S.r.l.s. server via browser, provides the program Customer with a series of additional capabilities. Below are some examples for illustrative purposes: - Assistance, Training, Updating, Databases, News, Information, Video Manuals, Forum services, etc. (demonstrative versions for free consultation and possible complete versions for a fee); - Consultation of Price Lists residing on the Aduna S.r.l.s. server with the possibility of extracting the data contained therein (demonstrative version for free use and possible complete version for a fee); - The possible creation, management, and saving of Documents on the Aduna S.r.l.s. server in a "cloud drive" provided on the same Aduna S.r.l.s. server for free (space limited); - The possible sharing of Documents with other operators by publishing the documents in the personal "workspace" and communicating the access password to third parties. Operators who receive the collaboration request and password can access to some Web features; - Other services and documents, both free for consultation and for a fee, that can be downloaded and updated directly via Internet connection. These services, as they are downloaded directly from the Internet, can change over time, whether they are free or paid services. - The Aduna S.r.l.s. technological structure, Web SERVICES, and DATA are physically hosted in hosting mode on Aduna S.r.l.s. servers. The Customer receives from Aduna S.r.l.s. the licence to use the aforementioned technological structure only for a limited time and according to the specifications and prescriptions explicitly stated below.

4.2.3. Availability of Features and Data The use of Web SERVICES and related DATA (collaboration requests, quote requests, Revit families, .rvt , test files, shared parameters, Price Lists, video manuals, forums, etc.) is considered to be provided for a limited time and free of charge. The program licence allows for the unlimited availability of only the software that the customer installs on their PC and NOT the Web services. Therefore, the program licence does not allow for unlimited availability of Web SERVICES and DATA residing on the Aduna S.r.l.s. server, even if these are technologically integrated with the program. The time limitation applies both to the functionalities, services, and data offered in a demonstrative and therefore free form, and to the complete and therefore paid ones. In the case of termination of a complete, and therefore paid, service (training product/service, space available on the server, etc.), the Customer will be entitled only to compensation for the service not yet used in terms of time, but will not be entitled to any further compensation for the interruption of the service itself. The Web SERVICES and DATA to which the program customer can access are never the property of the customer, who acquires only a limited-time use licence following the purchase of the program. The use licence acquired by the customer with the program purchase thus allows limited and free access to Web SERVICES and DATA. Aduna S.r.l.s. may decide to suspend free access to Web SERVICES and DATA or require compensation for the continuation of the service itself. The activation of certain functions (collaboration requests, quote requests, document sharing on the web) requires, for their operation, the installation of a particular service on the Aduna S.r.l.s. server

4.2.4. Software Features Provided with a Time LimitWeb SERVICES and DATA accessible via an Internet connection, whether free or paid, may change over time. The program menu automatically updates with each connection to the Aduna S.r.l.s. server to present the services currently available in the most updated form. This may result in changes to services and features initially provided.

4.2.5. Program Use licence - User Profile The Customer agrees to use the Web SERVICE and DATA exclusively in accordance with the terms and conditions provided by the licence of use of the software and those relating to the Web SERVICE and DATA. The Customer agrees to provide accurate and up-to-date registration information and maintain and update their registration data to keep it accurate and complete. Aduna S.r.l.s. reserves the right to suspend or terminate the use of the Web SERVICE and DATA if the Customer fails to provide accurate, up-to-date information.

4.2.6. Transfer of Use licence The use licence for the software, services, and data provided by Aduna S.r.l.s. is not transferable to third parties, either for a fee or free of charge, without the explicit written consent of Aduna S.r.l.s..

4.2.7. Software Updates and Upgrades Aduna S.r.l.s. reserves the right to periodically provide software updates and upgrades. The Customer agrees to accept and install these updates and upgrades to continue using the software and related services. Updates and upgrades are provided to ensure the optimal functioning of the software and to incorporate new features and improvements.

4.2.8. Ownership Rights The Customer acknowledges and agrees that all technological achievements underlying the software and services are the property of Aduna S.r.l.s..

4.2.9. Express Termination Clause Aduna S.r.l.s. may decide to suspend the free access to Web SERVICES and DATA at any time and for reasons beyond the Customer's control.

4.2.10. Limitation of Liability Aduna S.r.l.s. assumes no responsibility for direct or indirect damages that may be caused by the use of DATA, malfunctions or suspensions of Web SERVICES, malfunctions or suspensions of access to cloud services or data managed and accessible via the Internet from Aduna S.r.l.s.'s server. Web SERVICES and DATA accessible via the Internet may experience any kind of malfunctioning, which may result in improper saving, management, or loss of data. Aduna S.r.l.s. shall not be held liable for any direct or indirect damages, including data loss or failure to achieve commercial opportunities and benefits resulting directly from server malfunctions or Force Majeure events beyond the company's control, such as technical failures and interruptions in electrical, telephone, and telematic connection services, strikes, acts of vandalism and terrorism, natural disasters, and calamities.

4.2.11. Validity and Amendment of Conditions. The conditions described in this document shall take effect upon acceptance by the Customer and shall remain valid for the entire duration of the provision of software and services by Aduna S.r.l.s.. The Customer expressly authorizes Aduna S.r.l.s. to send any subsequent modifications of the conditions that constitute the current contractual terms.

4.2.12. Disputes The competent court for any disputes arising between Aduna S.r.l.s. and the Customer shall be the court having jurisdiction over Aduna S.r.l.s.'s registered office.

4.3.1. GeneralTogether with the provisions defined in the remaining sections of this licence of Use, the provisions of this section regulate the terms and conditions of use of Aduna S.r.l.s. software's Cloud Computing services.

    Definitions
  • Cloud Computing Services: All information technology services (cloud hosting, cloud server, cloud infrastructure, cloud software, etc.) through which the licenced User can create, allocate, use, and manage data and/or content and/or information ("data" hereinafter) on servers provided by Aduna S.r.l.s..
  • Service Activation: Refers to the moment when cloud services are activated for the end Customer.
  • Cloud Infrastructure: Refers to the information technology infrastructure as a service (SaaS - Software as a Service) created, allocated, exclusively by the Provider or Sub-provider for itself or for third parties and used and/or managed by the Provider for itself or for third parties, or directly by the latter if authorized by the Provider.
  • End User: Refers to the direct end user of the service(s).
  • Service Activation Date: The date communicated to the Customer upon activation of the account following an order.
  • Intellectual Property: The term "Intellectual Property Rights" identifies any rights governed, from time to time, by patent laws, copyright, semiconductor chip protection, copyright law, industrial secrecy, trademarks, unfair competition, privacy, and any other legally protected position concerning property rights, including any applications, renewals, extensions, reintroductions, and restorations, currently in force or capable of being implemented worldwide.

4.3.2. Standard Product and Accessories The Customer accepts that the Products and Services provided by Aduna S.r.l.s., as specified in the Contract, will be provided in their "standard" version, i.e., according to the factory specifications and functionalities. Therefore, Aduna S.r.l.s. does not guarantee in any way that the said Products or Services will meet the Customer's needs or that they will be able to perform functionalities desired and expected by the Customer, unless these are included in the Standard version. Any modifications, additions, or customizations of the Product or standard Services must therefore be subject to a separate and independent agreement with the Customer, following Aduna S.r.l.s.'s feasibility assessment. To this end, by signing this agreement, the Customer expressly declares to have reviewed the functional characteristics of the Products and Services, accepting their content without reservation. In any case, only the products and services expressly included in the Contract and its attachments are subject to the Contract, and the Customer may not demand further performance from Aduna S.r.l.s. unless expressly included, even if related.

4.3.3. Activation and Provision of the Service The conditions for the activation of the CLOUD Service are defined in the Product Specifications. Upon authentication of their profile at the software startup, the User can create, allocate, and use data for which content management functionalities are provided on the CLOUD. The software is equipped with appropriate functionalities through which the User, at their discretion and under their exclusive control, can create, allocate, and allow the use, for themselves or for third parties, or have third parties they have authorized to create, allocate, and use the data produced by the software for which content management functionalities are provided on the CLOUD. To use the CLOUD service, the software requires an active internet connection capable of using the data flow required by the program. The User is solely and exclusively responsible for maintaining their access data confidential and undertakes to keep them confidential and to safeguard them with due care and diligence, and not to transfer them, even temporarily, to third parties. The User is solely responsible, answering to Aduna S.r.l.s. for any subsequent omission or non-compliance: - Connectivity, both internal and external, of their infrastructure. - Their basic hardware and software infrastructure. All internet connection costs are borne by the User. Without prejudice to the validity of the licences granted by Aduna S.r.l.s., the User may access the CLOUD Service exclusively from the software functionalities specially assigned to it; it is absolutely forbidden to access the service in any other way (for example, through remote access via the web). The User may access the CLOUD Service from any location, 24 hours a day, 7 days a week, except during service maintenance periods. The User is responsible for the use of the CLOUD Service by third parties accessing it using the User's access credentials. Unless otherwise provided in the Contract, the Products and Services will be provided by Aduna S.r.l.s. in Public Cloud mode, according to the SaaS (Software as a Service) paradigm or, in any case, in online mode. With regard to the provision of the service, the Customer will have access to the Products and Services through authorization credentials and authentication communicated in strictly confidential form or otherwise regulated by account management mechanisms.

4.3.4. Duration and Renewal of the Service The duration of the Service and the conditions for the renewal of the service are defined in a specific tariff. If the service expires, the User will not be able to allocate or create new content. In this case and excluding any liability for their total or partial loss or damage, the User may, may lose the content on the infrastructure will be permanently deleted and no longer recoverable. In this case, it is solely the User's responsibility to restore the data to the Infrastructures, following reactivation of the Service. The fee may be subject to an annual increase. In such a case, the new rates will apply from the contract renewal date and will be confirmed for the entire contractual duration.

4.3.5. Service Usage Limits

    Cloud services, depending on the purpose of the service, may have limits in terms of:
  • Occupied space / storage capacity;
  • Number of documents created;
  • Number of licences;
  • Additional applications.
These usage limits are defined by specific differentiated and scalable subscriptions. Once the limits provided by the chosen subscription at the time of purchase or renewal of the service are exceeded, the customer may continue to use the service by subscribing to a new plan that includes higher usage limits than the previous plan.

4.3.6. Limitation of Liability Aduna S.r.l.s. guarantees the User the use of the CLOUD Service in accordance with what is defined in this licence and in the Product Specifications of the associated software. Aduna S.r.l.s.'s obligations and liabilities towards the User are those defined in this document; therefore, in any case of violation or default attributable to Aduna S.r.l.s., it will be liable only within the limits provided by this licence of Use, expressly excluding any other compensation or compensation to the User for direct or indirect damages of any kind and species. The User acknowledges and accepts that in all cases where this licence of Use does not apply, Aduna S.r.l.s. will be liable only within the limits of the amount spent in the last 12 months by the Buyer. Aduna S.r.l.s. does not make any specific backup of the data processed by the User in the infrastructure except for the backup of all the contents of the storage that Aduna S.r.l.s. itself, for caution, periodically performs for the purpose of any restoration of the Service. Aduna S.r.l.s. assumes no responsibility, in any case, for the data entered and in general for the use made by the User, for themselves or for third parties, or by the latter if authorized by the User, in the Infrastructure, and reserves the right to take any initiative and action to protect its rights. Aduna S.r.l.s. will not be held responsible for any direct or indirect damages, including loss of data or failure to achieve opportunities and commercial benefits resulting from delays, malfunctions, or non-use of software, services, and data, directly attributable to Aduna S.r.l.s.'s server malfunctions or force majeure events not dependent on the company, such as technical failures and interruptions of electrical, telephone, and telematic connection services, strikes, acts of vandalism and terrorism, disasters, and natural calamities. Aduna S.r.l.s. reserves the right to suspend the service at any time without prior notice to the User, in order to carry out necessary maintenance activities or technical interventions aimed at improving its operation. Nothing will be due for the inability to use the Service caused by problems or malfunctions of the Network or any damage or malfunction that occurred on the Recipient's computer on which the Application is installed or related connection services used by them.

4.3.7. User Obligations and Rights The User has the right to use the CLOUD Service according to the technical specifications and in accordance with what is defined in this document. The User acknowledges that the internet network is not controlled by Aduna S.r.l.s. and that, due to the peculiar structure of the said network, Aduna S.r.l.s. cannot guarantee and monitor the performance and functionality of the network and control the content of the information transmitted through its network. For this reason, no responsibility can be attributed to Aduna S.r.l.s. for malfunctioning or for the transmission or receipt of illegal information of any kind and species. The User, also on behalf of third parties to whom they may have granted the use of the Service for any reason, undertakes to use the Service exclusively for lawful purposes and as permitted by the laws applicable from time to time, by customs and practices, by rules of diligence, and in any case, without prejudicing any rights of third parties, assuming all responsibility in this regard. The User declares to be the sole and exclusive administrator of the Service and as such declares to be solely responsible for:

  • The management of data and/or information and/or content placed by them in the Infrastructure, their security, and the performance of any other useful or necessary activity to guarantee their integrity;
  • The content of accessible data and/or made available in the infrastructure by the User or by third parties authorized by them;
  • Malfunctions of the Service for any non-compliant use;
  • The loss or disclosure of access credentials;
  • The management of accesses from their account (any modification of the Service made through the User's account is presumed to be made by the User themselves); The User also undertakes to promptly inform Aduna S.r.l.s. of any unauthorized use of their Account or any other security breach identified.
With regard to the certification of all operations performed by the software, the User acknowledges and accepts, for themselves and for third parties they have allowed, for any reason, to use the Service, that only the Provider's LOGs kept in accordance with the law will be considered valid. The User is and remains solely and exclusively responsible for any other operation performed for themselves or for third parties or by them directly in the Infrastructure through the Service provided by Aduna S.r.l.s., with respect to these operations they undertake to comply with or to enforce applicable regulations, including those for the protection of personal data. The User undertakes to communicate and enforce on any third parties to whom they have allowed the use of the Service, all the provisions provided by the contract without exception, also undertaking to indemnify and hold harmless Aduna S.r.l.s. from any claims and/or claims for damages from anyone advanced that find reason in the violation of these provisions and in the conduct of the User or the aforementioned third parties. The User is and remains solely and exclusively responsible for the content entered or disseminated through the Products and Services covered by the contract, on which Aduna S.r.l.s. is not required to carry out any verification or control operation, committing to indemnify and hold harmless the latter from any and all liability connected to it. The User is and remains also solely and exclusively responsible for the legality, regularity, and correctness of the data entered or disseminated through the Service, for which, in any case, they assume all responsibility in this regard and undertake to hold Aduna S.r.l.s. harmless from any and all liability connected to it.

4.3.8. CLOUD data Intellectual Property Rights. Aduna S.r.l.s. or its licensors reserve all rights, titles, and interests (including intellectual property rights) relating to the documents provided on CLOUD storages, including the content and other information available, or Models published by Aduna S.r.l.s. . Aduna S.r.l.s.'s rights are protected by copyright laws and international treaties, as well as laws and treaties on intellectual property. All rights not expressly granted in these conditions are retained by Aduna S.r.l.s.. Unauthorized use of CLOUD products may violate copyright, trademarks, and other intellectual property rights and laws in general. Models and any other software made available on the CLOUD are licenced on a non-exclusive basis and not sold. Aduna S.r.l.s. reserves the right to access, store or reuse as anonymous content any data stored in its servers, for debug, optimization, disassembling purposes. Any references to the sale or purchase of Models and/or software contained in these conditions are to be construed as the sale or purchase of licences.

4.3.9. Product and Service Warranties In this regard, we refer to the provisions of the "Warranty" section of the Contract which will indicate whether, within the limits provided for, the Provider guarantees the Product or Services to be found in accordance with the agreed quality levels, to the exclusion of any other warranty, express or implied, by law or otherwise.

4.3.10. Changes and Updates Aduna S.r.l.s. reserves the right to modify, integrate, update the Products and Services covered by the Contract and in any case, in accordance with the applicable regulations.

4.3.11. Express Termination Clause All provisions referred to in section 3.10 shall apply..

4.3.12. Validity and Amendments of the Terms All provisions referred to in section 3.11 shall apply.

4.3.13. Acceptance of the licence All provisions referred to in section 3.12 shall apply.

4.3.14. Disputes The competent court for all disputes arising between Aduna S.r.l.s. and the User is the court in which Aduna S.r.l.s.'s registered office is located.

4.4.1. Generality Together with the provisions defined in the remaining sections of this licence, the provisions of this paragraph regulate the Terms of Use ("Terms") of the Aduna S.r.l.s. Online catalogue granted on a non-exclusive basis to the User who accepts and, unless otherwise agreed in writing, constitute the entire agreement between the User and Aduna S.r.l.s. in relation to the use of the catalogue and the distribution of Models contained therein. The catalogues can contain Revit families or other Revit objects, as well as pre-defined start files or examples.

4.4.2. Definitions i. licence of Use ("licence"): The set of permissions granted to the user by the owner of the product/service; ii. User: A natural or legal person using the product/service to whom the licence of Use is granted. The same licence of Use cannot be granted to multiple different Users. iii. Product Specifications ("Specifications"): Set of technical specifications of the product/service in question, including any services and supporting documentation; iv. 3D Models ("Models"): Individual and separate three-dimensional models of objects created, designed, and developed by the Author and include all related or included content and information (textures, materials, etc.). v. Aduna S.r.l.s. Online catalogue ("catalogue"): Aduna S.r.l.s.'s service, structured on Web-Based technology, for the distribution of Models to Users. vi. Original Author of the Models ("Author"): Creator of the Model (of which he holds the intellectual property rights) published in the catalogue to be made available to Users. The Author of the Models may be a User, Aduna S.r.l.s., or third parties. vii. End User of the Models ("User"): A user who uses a Model retrieved from the catalogue. viii. catalogue User ("User"): User who uses the catalogue to distribute created Models (Author) and/or to use the Models present (User).

4.4.3. Conditions of Use of the Aduna S.r.l.s. Online catalogue In accordance with these Conditions, the User may use the catalogue to view, search, find, download, and distribute Models. The Models present in the catalogue, created by anyone, are made available free of charge. However, Aduna S.r.l.s. reserves the right to distribute the Models in the catalogue for a fee; in this case, this licence will be updated with additional conditions for the purchase of the Models. Any Author who can access the catalogue may distribute their Models to end Users through the catalogue. The Author may remove a Model previously posted in the catalogue at any time, provided that the removal does not affect the licence granted to Users who downloaded the Model before its removal. Even if distribution of the Models does not continue after removal, Aduna S.r.l.s. has the full right to retain copies of the removed Models for data preservation purposes. Aduna S.r.l.s. reserves the right to:

  • Refuse access to the catalogue to anyone, at any time, at its sole discretion, for any reason or without reason;
  • Refuse to make a Model available in the catalogue to anyone, at any time, at its sole discretion, for any reason or without reason;
  • Delete items from the catalogue, inserted by anyone, at any time at its sole discretion, for any reason or without reason;
  • Make Models, inserted by anyone, available to all users or only to some of them, at its sole discretion.
  • Establish and revise, at any time at its sole discretion, the conditions of acceptance and authorization of Models inserted in the catalogue.

4.4.4. User Account To access the catalogue, the User must have an "Aduna S.r.l.s. User Account" (registration on the site www.Aduna.eu). The User Account can also be created at the time of first access to the catalogue. The User is fully responsible for maintaining the confidentiality of their credentials; furthermore, they are entirely responsible for any activity that occurs on the catalogue through their Account. The User agrees to immediately notify Aduna S.r.l.s. of any unauthorized use of their Account or any other security breach. Aduna S.r.l.s. shall not be liable for any loss caused by access to the User's Account by third parties, with or without their knowledge. Personal identification information will be managed according to Aduna S.r.l.s.'s privacy policy and may be used and shared by Aduna S.r.l.s. to satisfy access to a Model, to provide related services, or as otherwise provided in these Conditions.

4.4.5. Products and Services Owned by Aduna S.r.l.s. Aduna S.r.l.s.'s obligations regarding its products/services are exclusively governed by the terms and conditions of this document and any existing supply contracts. If a product/service owned by Aduna S.r.l.s. is used through the catalogue provided without an agreement, such product/service is provided "as is", without any warranties, express or implied, and the use of such product/service is at your own risk. Aduna S.r.l.s. may update or modify its software from time to time without notice, even if such changes may affect the compatibility or interoperability of the Models. The right to receive such updates is dependent on and governed by the terms of the Software licence Agreement entered into with Aduna S.r.l.s...

4.4.6. Models, Products, and Services Provided by Third Parties Some of the Models in the catalogue may be owned by third parties (e.g., manufacturers of building materials, furnishings, etc.). Aduna S.r.l.s. makes no warranties for Models provided by third parties and published in the catalogue. The use of a Model owned by third parties is governed by the "Model licence Terms" set forth in Section 6 of these Conditions. Aduna S.r.l.s. MAKES NO REPRESENTATIONS OR WARRANTIES AND EXPRESSLY DISCLAIMS ALL LIABILITY REGARDING THE MODELS AND MATERIALS IN GENERAL, INCLUDING THEIR CONTENTS, PROVIDED BY THIRD PARTIES (AND ANY ACTION ARISING THEREFROM).

4.4.7. Licence Terms Applicable to MODELS The use of a Model downloaded from the catalogue is governed by these Conditions and the "Model licence Terms". Each Model provided under the "Model licence Terms" is provided "as is", without any warranties, express or implied, and the use of such Model is at the total risk and peril of the User. The Author may remove any previously published Model from the catalogue at any time and at their discretion. Aduna S.r.l.s. may also remove, at any time and in its sole discretion, any Model from the catalogue, published by anyone, if such Model violates these Conditions, any Aduna S.r.l.s. policy, provisions of Law or applicable national and international regulations. By publishing a Model in the catalogue, the Author grants Aduna S.r.l.s. a non-exclusive, worldwide, transferable (with sublicensing rights at multiple levels), final and irrevocable (under all applicable intellectual property rights) licence to copy, publicly perform, display, use, distribute, store, transmit or otherwise make available through the catalogue every Model including related content, if necessary, to (a) promote, market, distribute (where applicable) any Model; (b) promote, manage and make available to Users products or services connected to Aduna S.r.l.s.. The Author who publishes the Model also grants to the User who accepts, a non-exclusive licence for all Models made available under the "Model licence Terms". Except for the limited licence rights granted under this document, all rights, titles, and interests in the Models created remain with the Author who Created the Model. Aduna S.r.l.s., for its part, MAKES NO WARRANTY on Models published by Users. The full warranty remains the responsibility of the User (Author) who publishes the Models in the catalogue, which assumes all associated responsibilities. The Author who publishes the Models, for each Model published in the catalogue including related content, DECLARES AND WARRANTS that they own all intellectual property rights, including patents, copyrights, trademarks, trade secrets, rights of privacy or publicity, or other rights of ownership. If the Model or related content includes materials and/or content of third parties, the Author declares and warrants that they have the right to distribute such material and its content and, in any case, to grant Aduna S.r.l.s. all rights and licences provided under these conditions. The User who publishes the Models acknowledges that they cannot distribute such Models unless they are the owner and/or possess all necessary rights and permissions..

4.4.8. catalogue Materials Intellectual Property Rights. Aduna S.r.l.s. or its licensors reserve all rights, titles, and interests (including intellectual property rights) relating to the catalogue including the content and other information available on the catalogue itself, including Models published by Aduna S.r.l.s. . Aduna S.r.l.s.'s rights are protected by copyright laws and international treaties, as well as laws and treaties on intellectual property. All rights not expressly granted in these conditions are retained by Aduna S.r.l.s.. Unauthorized use of Materials on the catalogue may violate copyright, trademarks, and other intellectual property rights and laws in general. Models and any other software made available on the catalogue are licenced on a non-exclusive basis and not sold. Aduna S.r.l.s. reserves the right to access, store or reuse as anonymous content any data stored in its servers, for debug, optimization, disassembling purposes. Any references to the sale or purchase of Models and/or software contained in these conditions are to be construed as the sale or purchase of licences.

4.4.9. Use Limitations The user may not and may not permit others to:

  • Modify the Models (including its contents) of the catalogue (except those published by the user himself) or use them for any public display, sale, rental, or commercial purposes except as expressly authorized in these Conditions or the "Model licence Terms";
  • Decompile, decode, or disassemble any software provided in the catalogue;
  • Remove, obscure, alter, or modify any copyright or other proprietary or legal rights of the materials in the catalogue;
  • Redistribute or transfer catalogue Models to third parties, except as expressly permitted by these Conditions and the "Model licence Terms.".

4.4.10. The licence, its acceptance, and use By accepting these conditions and using the catalogue, the User declares and guarantees that they have carefully read and accepted the conditions herein and undertakes to use the catalogue and its contents exclusively in accordance with the provisions of these conditions.

4.4.11. User Conduct The User agrees to use the catalogue in compliance with all applicable laws and regulations and in accordance with these Conditions. The User agrees not to use the catalogue in any way that could damage, disable, overburden, or impair any Aduna S.r.l.s. server, or the networks connected to any Aduna S.r.l.s. server, or interfere with any other party's use and enjoyment of the catalogue. The User agrees not to attempt to gain unauthorized access to any other User's Account or to any part of the catalogue, or any systems or networks connected to the catalogue, by hacking, password mining, or any other illegitimate means.

4.4.12. Termination of Use Aduna S.r.l.s. reserves the right, at its sole discretion, to terminate the User's access to the catalogue without notice and without liability for any reason whatsoever, including without limitation, breach of these Conditions.

4.4.13. Responsibility of the User The User agrees to indemnify and hold Aduna S.r.l.s. harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with the User's access to or use of the catalogue or its violation of these Conditions.

4.4.14. Limitation of Liability To the fullest extent permitted by law, in no event shall Aduna S.r.l.s., its affiliates, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with the User's access to or use of the catalogue or the Models therein, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Aduna S.r.l.s. has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

4.4.15. Modification of Conditions Aduna S.r.l.s. reserves the right to modify or replace these Conditions at any time. The most current version of these Conditions will be posted on the Aduna S.r.l.s. website. The User is responsible for regularly reviewing these Conditions. Continued use of the catalogue after any such changes shall constitute the User's consent to such changes.

4.4.16. Applicable Law and Competent CourtThese Conditions shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles. The User and Aduna S.r.l.s. agree to submit to the exclusive jurisdiction of the courts located in Italy to resolve any dispute arising out of these Conditions or the use of the catalogue.

4.4.17. Language of the Contract The original English version of these Conditions may have been translated into other languages. The translated version is a courtesy and office translation only and the User cannot derive any rights from the translated version. In case of a dispute about the contents or interpretation of these Conditions or inconsistencies or discrepancies between the Italian version and any other language version, the Italian language version shall prevail and be controlling to the extent permitted by law.

4.4.18. Entire Agreement These Conditions constitute the entire agreement between the User and Aduna S.r.l. regarding the use of the catalogue and supersede any prior or contemporaneous understandings, representations, or agreements between the User and Aduna S.r.l. regarding the catalogue.

4.5.1. GeneralTogether with the provisions in section 5 of this licence Document, the provisions in this section regulate the licence Conditions of Use limited to the Models present in the ONLINE catalogue provided by the Original Author of the model ("Author") to the end user of the Model ("User"), and unless otherwise agreed in writing, they constitute the entire agreement between the Author and the User.

4.5.2. Definitions

  • licence of Use ("licence"): the set of authorizations granted to the user by the owner of the product/service;
  • User: individual or legal entity using the product/service to which a licence of Use is granted. The same licence of Use cannot be granted to different Users.
  • Product Specifications ("Specifications"): Set of technical specifications of the product/service in question, including any services and supporting documentation;
  • 3D Models ("Models"): Individual and separate three-dimensional models of objects created, designed, and developed by the Author and include all related or included content and information (textures, materials, etc.).
  • Online catalogue ("catalogue"): Web-Based technology service for distributing Models to Users.
  • Original Author of the Models ("Author"): Creator of the Model (of which they hold the intellectual property rights) published on the catalogue for availability to Users. The Author of the Models can be a User, Aduna S.r.l.s., or third parties.
  • End User of the Models ("User"): User who uses a Model downloaded from the catalogue.
  • catalogue User ("User"): User who uses the catalogue to distribute created Models (Author) and/or to use the present Models (User).

4.5.3. Limited licence Grant to MODELSSubject to the provisions of these Conditions (including the "authorized uses" set forth in section 6.4 and the "licence Restrictions" set forth in section 6.5), by publishing the Model on the catalogue, the Author grants the User a limited, non-transferable, non-exclusive, royalty-free (without the right to sublicence) licence to download, reproduce, adapt, create derivative works based on, modify, publish, publicly display and perform, distribute, manufacture, import, and use the Models for the uses expressly authorized and listed below.

4.5.4. Authorized Uses

    The licence for Models is granted by the Author to the User, limited to:
  • Creating derivative works from other models (Creations), including through substantial modification of the geometry, color, or other attributes of the Models, provided that if published in the catalogue, such creation constitutes in all respects a Model;
  • Incorporating Models and Creations into a larger work or final product (Work) for a third party, provided that the work includes substantial additional content to the original Model;
  • Distributing Models, Creations, and Combined Works to third parties (including for commercial purposes);
  • Making a reasonable number of copies of Models, Creations, and Works in relation to the above uses.

4.5.5. Licence Restrictions

    The User may not and may not allow others to:
  • Sell, offer for sale, or distribute any individual Model on a standalone basis unless they are the Author;
  • Use the Model in violation of applicable laws or regulations or for unlawful purposes;
  • Remove, obscure, or alter any product identification, proprietary, copyright, trademark, or other notices contained in or accessed from or through the Model;
  • Claim or misrepresent ownership of any Model unless they are the Author;
  • Use all Models, Creations, or Works in a competitive manner with the catalogue;
  • Distribute, in any form, any content obtained from the catalogue (including Models) in applications and/or services that are not Aduna S.r.l.s.'s, except as expressly provided in these Conditions. The User agrees to prevent any unauthorized copying of the Models. The User agrees to follow all instructions, indications, and usage restrictions of the Models and materials in the catalogue and any connected services. The User acknowledges responsibility for any costs incurred by Aduna S.r.l.s. or any other party (including legal fees) due to misuse of the Models

4.5.6. Ownership RightsAll Models distributed through the catalogue are licenced and not sold. Any reference in this document to the sale or purchase of Models shall be understood as the sale/purchase of a licence. The User acknowledges and agrees that:

  • Models contain proprietary, confidential, and protected information under intellectual property and copyright laws;
  • The Author of the Model holds all rights, titles, and interests therein, including, without limitation, all intellectual property rights.

4.5.7. Termination of this licenceThe User may terminate this Agreement at any time by manually deleting the Model from their computer or other media. In the event of a breach of these Conditions, the authorization and licence to use the Model shall automatically and immediately terminate, and the User must immediately cease use and permanently delete any downloaded Model. Sections 3 (Limited licence grant to Models), 6 (Ownership rights), 8 (Disclaimer), 9 (Hazardous activities), and 10 (Limitation of liability) shall remain in effect even after the termination or expiration of this licence agreement.

4.5.8. DisclaimerNeither Aduna S.r.l.s. nor the Original Author warrants that the Model is up-to-date, meets specific personal needs, that any defects or errors will be corrected, or that the Model is free from viruses or other harmful components. The use of the Model is at the sole risk and peril of the User. THE MODEL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, TITLE, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE.

4.5.9. Hazardous ActivitiesModels are NOT intended for use in the operation of nuclear facilities, life support systems, emergency communications, air traffic control systems, aircraft navigation or communication systems, design and construction of buildings or structures, power plant design, or other similar activities where failure of the Model could lead to death, personal injury, or severe physical or environmental damage.

4.5.10. Limitation of Liability THE USER EXPRESSLY ACKNOWLEDGES AND AGREES THAT NEITHER Aduna S.r.l.s. NOR THE ORIGINAL AUTHOR OF THE MODEL SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF Aduna S.r.l.s. OR THE AUTHOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF: (i) USE OR INABILITY TO USE THE MODEL; (ii) COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; or (iii) ANY OTHER MATTER RELATING TO THE MODEL. THESE LIMITATIONS SHALL APPLY EVEN IF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY FAILS AND TO THE FULLEST EXTENT PERMITTED BY LAW. THESE LIMITATIONS AND EXCLUSIONS APPLY REGARDLESS OF WHETHER SUCH DAMAGES ARISE FROM BREACH OF CONTRACT OR WARRANTY, NEGLIGENCE, OR ANY OTHER LIABILITY THEORY. TO THE EXTENT THAT APPLICABLE LAW DOES NOT ALLOW SUCH EXCLUSIONS AND LIMITATIONS, IN NO EVENT SHALL THE TOTAL LIABILITY OF THE DEVELOPER FOR ALL DAMAGES AND LOSSES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE AMOUNT PAID FOR THE licence OF THE MODEL.

4.5.11. Acceptance of licence TermsThe Author, through the catalogue, makes Models (and any other related items) available to Users upon joint acceptance of these Conditions. Both the Author and the User are required to read these Conditions before publishing, displaying, searching, finding, downloading, using, or purchasing Models. By publishing any Model on the catalogue, the Author agrees to the terms of these Conditions. By purchasing, downloading, or using any Model on the catalogue, the User agrees to the terms of these Conditions. If the Author/User does not accept these Conditions, they may not publish/use the Models or the catalogue and any content contained therein in any way. Aduna S.r.l.s. also reserves the right to update and modify these Conditions at any time and at its sole discretion. The Author/User is encouraged to periodically check these Conditions to ensure awareness of any modifications. Continued use of the catalogue and/or Models, even after the publication of any modifications to these Conditions, will confirm acceptance of such modifications. An updated copy of these Conditions is always available at: http://www.aduna.eu Applicable Law This licence agreement and all actions and proceedings related thereto shall be governed by the laws of the state of residence of the Author, the state of residence of the User, and the state in which Aduna S.r.l.s. registered office is located, without regard to conflict of laws provisions. The competent court for any disputes that may arise between Aduna S.r.l.s. and any other party shall be the court in whose jurisdiction Aduna S.r.l.s.'s registered office is located.

4.6.1. GeneralTogether with the provisions defined in the remaining sections of this licence, the provisions in this paragraph regulate the licence Conditions of Use for ARCHIVES and DATABASES provided with the software produced by Aduna S.r.l.s. (including but not limited to: material archives, processing archives, physical data, price lists, regulatory databases, specifications, models, etc.). Subject to the provisions defined in this licence, where the provision of ARCHIVES and DATABASES involves a fee-based service, the conditions of use of the service are referred to in the relevant supply contract. 4.6.2. Conditions of Use of ARCHIVES and DATABASES Aduna S.r.l.s. grants the Customer, who accepts, the sole licence OF USE, non-exclusive, of the ARCHIVES and DATABASES referred to in paragraph 7.1, limited to the conditions of use specified in the contract.

4.6.3. DownloadingSubject to the provisions of paragraph 7.2, and unless otherwise agreed in writing, the User may download, save, store and print from the ARCHIVES and DATABASES (or relevant materials) in relation to its uses.

4.6.4. Non-transferabilityThe licence OF USE referred to in paragraph 7.2 above, is NON-TRANSFERABLE, may not be transferred or assigned to third parties.

4.6.5. Use of third-party suppliersUnless otherwise agreed in writing, the present General Conditions govern the provision of services of third-party suppliers, where appropriate, where a licence OF USE of the archives and databases is provided.

4.6.6. Exclusion of responsibilityAduna S.r.l.s. does not assume any responsibility for any loss or damage suffered by the User, arising from an interruption of the supply service of ARCHIVES and DATABASES, provided in accordance with this licence.

4.6.7. Revisions and updates of General Conditions of ARCHIVES and DATABASESAduna S.r.l.s. reserves the right to revise and update these General Conditions of ARCHIVES and DATABASES, at any time, at its discretion. It is advisable for the User to periodically review these General Conditions, so as to remain informed of any changes. The continued use of the service of ARCHIVES and DATABASES after the publication of any changes to these General Conditions will be considered an acceptance of such changes.

4.6.8. Legal Information Update Aduna s.r.l. reserves the right to modify these Terms and Conditions by updating the Websites at any time and without prior notice. Such modifications shall become valid and effective from the moment they are published on the Websites. The User agrees that, should any part of these Terms be found unenforceable, the remaining provisions shall remain fully valid and enforceable. By using the Websites, the User acknowledges and accepts to be bound by any such modifications; therefore, it is the User's responsibility to regularly review the current Terms and Conditions and to stay informed of the latest applicable version.
